These Terms of Service ("Terms") govern your access to and use of the website dispatchpartnerz.com (the "Site") and the dispatch support services (the "Services") offered by Dispatch Partnerz ("we," "us," or "our"). By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our Services.
1. Acceptance of Terms
By using this Site or entering into a service agreement with us, you confirm that you have the legal authority to accept these Terms on behalf of yourself or the business you represent.
2. Description of Services
Dispatch Partnerz provides dispatch support services to owner-operators and small fleets, including load sourcing coordination, broker communication support, route and appointment planning assistance, and paperwork management. Dispatch Partnerz is not a licensed freight broker or motor carrier and does not itself broker, transport, or take possession of freight. All final decisions regarding which loads to accept remain with the carrier at all times ("no forced dispatch").
3. Use of the Website
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. You agree not to attempt to gain unauthorized access to any part of the Site, its related systems, or networks.
4. Intellectual Property
All content on this Site, including text, graphics, logos, images, and software, is the property of Dispatch Partnerz or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this Site without our prior written consent.
5. No Guarantee of Freight, Rates, or Results
While we work to source freight that fits your equipment, lanes, and revenue goals, we do not guarantee the availability of any specific load, rate, or level of earnings. Freight markets fluctuate, and results will vary based on market conditions, equipment, and carrier compliance factors outside our control.
6. Fees and Payment
Our Services are offered on a flat weekly-fee basis as described on our Pricing page and in your individual service agreement. Fees are due as outlined in your service agreement regardless of load volume in a given week, unless otherwise agreed in writing.
7. Limitation of Liability
To the fullest extent permitted by law, Dispatch Partnerz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost freight opportunities, arising out of or related to your use of the Site or our Services. Our total liability for any claim arising from our Services shall not exceed the fees paid by you to Dispatch Partnerz in the three (3) months preceding the claim.
8. Indemnification
You agree to indemnify and hold Dispatch Partnerz harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law, or your use of the Site or Services.
9. Third-Party Links
The Site may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of any third-party site, and inclusion of a link does not imply endorsement.
10. Termination
We may suspend or terminate your access to the Site or our Services at any time for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties. Termination of a service agreement is governed by the terms of that specific agreement.
11. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles, and any disputes shall be resolved in the state or federal courts located in New York, unless otherwise required by applicable law.
